These Terms govern the relationship between Passwave and its business customers (“Clients”) who use the Passwave platform, APIs, SDKs, and related applications. Passwave provides digital credentialing and access management software for hospitality, coworking, and residential properties. The platform enables Clients to issue, manage, and monitor digital credentials for their own end-users, such as guests, residents, or staff. End-users who receive or use credentials created through a Client's system (for example, hotel guests or residents) are not parties to these Terms. Their relationship is with the Client that provided the credentials. Passwave's processing of such end-user data is governed by its Privacy Policy and relevant data processing agreements.
When creating an account, you must provide accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all actions taken under your account. Notify us immediately if you suspect unauthorized use. If you act on behalf of an organization, you confirm that you have authority to bind that entity and will ensure compliance with these Terms and all applicable regulations.
Services are billed in advance, either monthly or annually, based on your subscription plan. Failure to make timely payment may result in suspension of access until payment is received. We will provide at least 30 days' notice before any pricing changes take effect. Continued use of the platform after such notice constitutes acceptance of the updated pricing.
You may use the platform only in accordance with the law and these Terms. You must not attempt to gain unauthorized access to any system or data, interfere with the operation or security of the platform, reverse engineer or copy the software, or resell our services without written consent. You are responsible for ensuring that your use complies with all applicable laws and regulations.
You retain ownership of all data that you upload or generate while using the platform. Passwave processes this data solely to operate, secure, and improve its services, in accordance with the Privacy Policy. Passwave processes end-user data solely to provide and support the services described in these Terms, in accordance with its Privacy Policy and any applicable data-processing agreement with the Client.
Access to Passwave APIs and SDKs is governed by your subscription plan and applicable rate limits. We may update or deprecate API endpoints with reasonable notice. Applications developed with our SDKs must follow our integration guidelines and accurately represent their relationship with Passwave.
We strive to maintain continuous service availability. Scheduled maintenance or unforeseen technical issues may cause temporary interruptions, which we will communicate whenever possible.
Passwave's software supports digital access management but does not replace physical security measures. You remain responsible for hardware installation, on-site safety, and emergency procedures. To the fullest extent permitted by law, Passwave shall not be liable for indirect, consequential, or incidental damages, including lost profits or data loss. Our total aggregate liability will not exceed the fees paid by you during the 12 months preceding the claim.
Either party may terminate this agreement with 30 days' written notice. We may terminate immediately in the event of non-payment or a material breach. Upon termination, you may export your data within 30 days. After this period, data may be permanently deleted.
We may revise these Terms to reflect changes in law or business operations. Material updates will be announced at least 30 days in advance. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of Ireland. Any disputes shall fall under the exclusive jurisdiction of the Irish courts. EU consumers can find updated information on alternative dispute resolution through the European Commission's consumer redress portal: https://consumer-redress.ec.europa.eu
